The In-House Lawyer is responsible for company secretarial work, drafting, reviewing and negotiating on all legal documentation, working with internal and external stakeholders to protect the legal interests of Ascot Lloyd and its employees.

Key role responsibilities:

  • Draft, review and issue legal contracts and documentation including NDA’s, letters of engagement, third party service agreements
  • Support Compliance and HR with any litigation matters
  • Work with the acquisition team on M&A’s, highlight risks during due diligence and ensure Ascot Lloyd is protected legally post M&A
  • Preparation of Board packs
  • Minute taking, issuing and follow up of action plans for Board meetings and if relevant Committees
  • Represent Ascot Lloyd on all legal matters and present if necessary to the Board and investors
  • Review property leases, negotiate in the best interests of Ascot Lloyd
  • Assist HRD with employment contracts, preferred supplier agreements, consultancy agreement and termination contracts
  • Be responsible for the set-up and administration of company share schemes
  • Attend the risk committee meetings and advise if appropriate
  • Sign off on all external and in-house contracts and agreements

Person Specification:

  • Qualified lawyer, 4 years upwards PQE, having trained either in-house or with a recognised commercial law firm
  • M&A experience essential
  • Can work autonomously, independently solving problems
  • Have experience of working within a medium-sized company structure, ideally a listed entity
  • Financial services or other professional services experience is desirable
  • Have a strong eye for detail
  • Excellent communication skills, both written and verbal
